Nach der Einigung im Trilog und der Zustimmung des Europäischen Parlaments am 18. April 2019 hat am 18. November 2019 auch der Rat der MobilRL zugestimmt (PE-CONS 84/19).
Sie schafft endlich spezielle EU-Rechtsrahmen für grenzüberschreitende Spaltungen (Titel II Kapitel IV GesRRL n.F.) und für grenzüberschreitende Formwechsel (Titel II Kapitel -I GesRRL n.F.); zudem bringt sie eine umfassende Novellierung des EU-Rechtsrahmens für grenzüberschreitende Verschmelzungen (Titel II Kapitel II GesRRL).
Die Richtlinie wird 20 Tage nach ihrer Veröffentlichung im ABlEU in Kraft treten; die Mitgliedstaaten haben dann 36 Monate Zeit für die Umsetzung, d.h. voraussichtlich bis Ende 2022.

After the consensus reached in the trilogue and the adoption by the European Parliament on 18 April 2019, the Council has adopted the Mobility Directive on 18 November 2019 (PE-CONS 84/19).
It finally creates a special EU legal framework for cross-border divisions (new Title II Chapter IV CLD) and for cross-border conversions (new Title II Chapter -I CLD); moreover, it brings a comprehensive reform of the EU legal framework for cross-border mergers (Title II Chapter II CLD).
The Directive will enter into force 20 days after its publication in the OJ; Member States will then have 36 months to transpose into their national laws, i.e. presumably until the end of 2022.
